C3's passed by Royal Assent this week

We are delighted to report that Bill 23, Finance Statutes Amendment Act, 2012 (BC) was passed into law this week, by Royal Assent.

Included in this Bill is the new social enterprise hybrid legal structure called the Community Contribution Company (or C3). BC is the first province to hold such legislation.

Creation of the C3 stemmed from consultations among non-profits engaged in or entering the social enterprise realm, beginning in 2010.

Bill 23 was first introduced to the BC Legislature on March 5, 2012.

The hybrid most closely resembles the UK's Community Interest Company (or CIC).

BC's Community Contribution Company features an asset lock, interest and dividend caps, and an extra layer of community impact reporting.

Embedded within the BC Business Corporations Act, the C3 is a taxable corporation.

Details of the C3's features will become clearer during the Ministry of Finance's drafting of the regulations associated with the new structural option. We hope to see the option made available for use by early 2014. Stay tuned...
